DMBC BOARD MEETING

                                                   MARCH 24, 2010

President, Jim Geary called this Special (Emergency) Meeting of the board together at 5:10 p.m.

Members in attendance were:

Bob Danielson

Judy Hinds

Jim Geary

Chet Masztak

Scott Weiss

Directors and Officers Liability Insurance. (D&O Insurance)

This meeting of the board was limited to discussion on the purchasing of additional coverage to protect board members from being sued.  Since our March meeting Jim noted that three to four members of the board were resigning or considering resigning since the board had voted not to purchase D&O insurance.  Since Lynn Brown and Donna Benoy were unable to attend this meeting, letters highlighting their thoughts on this issue were read to the board.  The following statement and motion was unanimously carried by the board:

The majority of this Board feels that our current $500,000.00 general liability insurance is adequate and that the additional purchase of $500,000.00 D&O insurance through Westfield Insurance Co. for $613.00 annually is unnecessary.  However when factored with several board members unease in continuing to serve on this board without D&O insurance; and realizing that this concern may be a deterrent in recruiting future board members, it is the recommendation of this board to purchase D&O liability insurance.
